Terms of Service

Effective date: May 5, 2026

These Terms of Service ("Terms") govern your access to and use of NannyAi, including our web app, SMS features, and display features (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.

If you are using the Service on behalf of a household, organization, or another person, you confirm you have authority to accept these Terms for that use.

1) Eligibility and Accounts

  • You must be at least 18 years old to create an account.
  • You are responsible for keeping your login credentials secure.
  • You are responsible for activity that occurs under your account.
  • You must provide accurate information and keep it up to date.

2) Household Data and Permissions

NannyAi is a shared household service. By inviting family members or linking integrations, you confirm you are authorized to share the data needed for those features.

If you connect third-party services (for example Google Calendar), you authorize us to access and process the data you permit through that integration in order to provide the Service.

3) SMS and Communications

By using SMS features, you consent to receive text messages related to your household account, including one-time verification links, updates, and task confirmations.

  • Message and data rates may apply.
  • Message frequency varies based on household activity.
  • You are responsible for providing phone numbers you are authorized to use.
  • You may stop receiving non-essential SMS communications by contacting support.

4) Acceptable Use

You agree not to:

  • Use the Service for unlawful, harmful, or abusive activity.
  • Attempt to gain unauthorized access to accounts, systems, or data.
  • Interfere with or disrupt the Service or related infrastructure.
  • Upload or transmit malicious code.
  • Reverse engineer or attempt to extract source code except where prohibited by law.

We may suspend or terminate accounts that violate these Terms.

5) AI and Automation Features

NannyAi uses automated and AI-assisted systems to help manage household tasks and scheduling. AI output can be incorrect or incomplete and should be reviewed before relying on it for important decisions.

You remain responsible for confirming actions, events, reminders, and household decisions.

6) Fees, Billing, and Usage Tracking

If paid plans are offered, pricing and billing terms will be presented before purchase. Unless stated otherwise:

  • Fees are billed in advance.
  • Subscriptions renew automatically until canceled.
  • Payments are non-refundable except where required by law.

We may change prices with advance notice.

Usage Tracking for Family Accounts

NannyAi may track usage metrics on a per-household basis to calculate costs, including:

  • Number of API calls made through the Service
  • Active features utilized by family members
  • Message and request volume
  • Service uptime and availability

What usage tracking does NOT include: Actual message content, calendar event details, scheduling decisions, meal plans, task specifics, or other personal household information are not included in usage metrics or billing reports. Usage tracking is limited to anonymous, aggregated metrics that help us measure service consumption without exposing your household's private data.

7) Intellectual Property

The Service, including software, design, branding, and content we provide, is owned by NannyAi or its licensors and is protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal household use.

8) Termination

You may stop using the Service at any time. We may suspend or terminate access if:

  • You violate these Terms.
  • We are required to do so by law.
  • Continued service would create legal or security risk.

Upon termination, your right to use the Service ends immediately.

9) Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant uninterrupted, secure, or error-free operation.

10) Limitation of Liability

To the maximum extent permitted by law, NannyAi and its affiliates, officers, employees, and partners are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill arising from or related to your use of the Service.

Our total liability for claims arising from the Service is limited to the amount you paid us for the Service in the 12 months before the claim, or USD $100 if you have not paid any fees.

11) Indemnification

You agree to indemnify and hold harmless NannyAi and its affiliates from claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.

12) Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised version and update the effective date above. Your continued use of the Service after changes become effective means you accept the updated Terms.

13) Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.
